The terms you sign when you join PRN CO-WORK. Read them before you send your booking request — you sign electronically on the booking form.
This Membership Agreement ("Agreement") is entered into between PRN CO-WORK ("the Space", "we", "us", "our") and the individual named below ("the Member", "you", "your"). This Agreement is legally binding and applies to every membership, pass, or access arrangement you purchase. By signing this Agreement, you acknowledge that you have read, understood, and accept all of its terms without reservation.
Membership and access
1. Grant of membership
Subject to the terms of this Agreement and payment of all applicable fees, we grant you a limited, non-transferable, non-exclusive right to use the coworking space and its shared facilities in accordance with the membership option you have selected. Your membership is personal to you and may not be shared, assigned, sublicensed, or used by any other person.
2. Contract term
Your membership begins on the start date recorded in your signed agreement and continues for the term corresponding to the option you selected. Fixed-term memberships are available for three (3) and six (6) month periods.
3. Membership options and eligibility
You may select the membership or pass option displayed at the time of booking. The terms, pricing, and access rights for each option are as published on our website and form part of this Agreement. The Up to 3 Months membership includes access Monday to Friday, 7am to 5pm. The Up to 6 Months membership includes 24-hour access Monday to Friday, subject to availability. Day passes are valid Monday to Friday, 8am to 6pm. We reserve the right to decline membership at our sole discretion.
Fees, payment and deposit
4. Membership fees
Membership fees are set at the rates published on our website at the time of booking and are payable in advance, on or before the due date, by the payment method you provide. All fees are non-negotiable and must be paid in full before the relevant membership period begins.
5. No joining fee
There is no separate joining or registration fee. You pay only the membership fees, deposits, and any other charges expressly described in this Agreement.
6. Deposit for fixed-term memberships
For fixed-term memberships of three (3) or six (6) months, you must pay the first month and the last month of the contract term upfront. The last-month payment is held as a deposit and secures your commitment to the full contract term. If you complete the full term and fulfil all obligations under this Agreement, the deposit will be applied to your final month's membership fee. If you do not complete the full term, the deposit will be handled in accordance with clauses 7 and 8 below.
7. Early termination of a fixed-term membership
Fixed-term memberships receive a lower monthly rate in exchange for your commitment to the full term. If you leave before completing three (3) full months, your last-month deposit is forfeited to cover the difference between the fixed-term rate you selected and the shorter-term rate that actually applies. If you complete at least three (3) full months and give thirty (30) days' prior written notice, the deposit may be applied to your final month.
8. Purpose of the deposit
The deposit is not a penalty. It protects the Space from the financial loss caused when a member selects a discounted fixed-term rate but does not remain for the full term. By signing this Agreement, you acknowledge that the lower fixed-term rates are only available in exchange for your commitment to the full term, and that forfeiting the deposit for early termination is a reasonable way to recoup the difference between the rate you chose and the rate that actually applies to the period you occupied.
9. Late payment
If any membership fee is not paid by its due date, we may suspend your access to the Space immediately and without notice. Continued non-payment for more than seven (7) days will be treated as a material breach of this Agreement and may result in termination. We reserve the right to charge a reasonable administrative fee for late payments and for any costs incurred in recovering overdue amounts.
10. Cancellation and notice
You may cancel a month-to-month membership by giving us at least thirty (30) days' prior written notice. Your membership, and your obligation to pay all fees due, continues until the end of that notice period. Fixed-term memberships may not be cancelled before the end of the contract term except as set out in clause 7.
11. No refunds
All membership fees, deposits, and other amounts paid by you are non-refundable, including if you cancel early, fail to use the Space, or if we terminate this Agreement because you breached it. This does not affect any statutory rights that cannot be excluded by agreement.
Conduct and use of the space
12. Respect and professionalism
You shall treat all other members, guests, and staff with courtesy and respect at all times. You shall not engage in any conduct that is unlawful, threatening, abusive, harassing, defamatory, obscene, or that unreasonably disturbs others using the Space.
13. House rules
You shall comply with the house rules of the Space, as published on our website and as updated from time to time. Updated house rules will be communicated to members and take effect from the date stated. Continued use of the Space after any update constitutes acceptance of the revised rules.
14. Cleanliness
You shall keep your desk, kitchen, and all common areas clean, tidy, and free of rubbish. You shall remove all personal belongings at the end of each day unless a dedicated storage arrangement has been expressly agreed in writing.
15. No smoking or vaping
Smoking, vaping, and the use of e-cigarettes are strictly prohibited anywhere inside the Space, including private rooms, bathrooms, and corridors. Smoking is permitted only on the open-air balcony.
16. No visitors
Your membership is strictly for your personal use. Visitors, guests, clients, and any other non-members are not permitted inside the Space under any circumstances. We do not grant permission to bring people in. Only active members are allowed inside.
17. Personal property
You bring personal property into the Space entirely at your own risk. We are not responsible for any loss, theft, damage, or disappearance of your belongings, whether or not left unattended. We strongly recommend that you do not leave valuables in the Space overnight.
18. Amenities, internet and services
You use all amenities, furniture, equipment, appliances, fixtures and communal areas at your own risk. We are not liable for any injury, loss or damage you suffer while using them. We provide top-of-the-line internet access as a convenience, but we do not guarantee uninterrupted availability, speed or compatibility with every device or use case. Report any amenity or connectivity issues to the manager of the Space.
Access and security
19. Access credentials
Any access codes, keys, key fobs, or cards issued to you are for your personal use only. You shall not share, copy, duplicate, lend, or transfer them to any other person. You are fully responsible for all activity and access occurring through the use of your credentials.
20. Lost or stolen credentials
You shall notify us immediately if any access credential is lost, stolen, or compromised. You may be charged a reasonable replacement fee for lost or damaged credentials.
21. Security cameras
You acknowledge and agree that security cameras are installed and operating in the main lobby and other common areas for the safety and security of members, staff, and property. By using the Space, you consent to the recording and use of footage in accordance with our data practices.
22. Personal data
We collect and use your personal information and any camera footage solely to operate the Space, manage your membership, maintain security, and comply with legal obligations. We do not sell your data and we share it only where necessary and lawful.
Liability and termination
23. Damage and liability
You are liable for any damage, loss, or destruction caused by you to the Space, its furniture, fixtures, equipment, or property of other members. You may not lend, share, or transfer your access credentials to any other person. You agree to reimburse us on demand for the full cost of repair or replacement, including any associated administrative costs.
24. Termination for breach
If you breach this Agreement or the house rules, we may require you to remedy the breach, suspend your access, or terminate your membership immediately. Serious breaches, including but not limited to unlawful conduct, violence, theft, harassment, repeated noise violations, or unauthorised access, may result in immediate termination without refund or credit.
25. Changes to fees or terms
We may change membership fees or the terms of this Agreement from time to time. We will give you reasonable prior notice of any change. If you do not agree to a change, you may cancel your month-to-month membership in accordance with clause 10. Changes to fixed-term memberships during the contract term will only be made with your consent, except where required by law.
26. Entire agreement and confirmation
This Agreement, together with the house rules and the membership option you selected, constitutes the entire agreement between you and the Space regarding your membership. By signing below, you confirm that you have read, understood, and agree to be legally bound by all of the terms set out above.
